Welcome to OhayouQuest LLC! These Terms of Service ("Terms") are a legal agreement between you ("You" or "User") and OhayouQuest LLC ("OhayouQuest," "we", "our", or "us"). By accessing or using our website at ohayouquest.com, our mobile applications on the Apple App Store or Google Play Store, or any related products or services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

These Terms include important information about your rights and responsibilities, as well as limitations and exclusions that may apply to you.

If you are accessing the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and, in that case, "You" will refer to that entity.

1. Service Availability and Quality

We strive to keep OhayouQuest’s Services online and performing optimally, but you acknowledge that:

• Availability: The Services may be unavailable from time to time due to maintenance, updates, network issues, or events beyond our control (e.g., internet outages, hosting failures).
• Performance: Factors like device capabilities, internet speed, and AI processing times can affect your experience.
• No Guarantees: We do not promise uninterrupted or error-free Services. We reserve the right to modify, suspend, or discontinue any feature or content without notice.

If you rely on the Services for critical learning or business activities, you should have backup strategies in place.

2. Eligibility

You must be at least 13 years old or meet the minimum age for digital consent where you live to use our Services. If local law allows you to access Services but not to enter into these Terms on your own, your parent or legal guardian must review and agree to these Terms on your behalf. By using the Services, you confirm that you satisfy these age requirements and have any necessary permissions.

We design OhayouQuest’s content with a PG‑13, family‑friendly approach. However, because some materials are generated automatically by our AI systems, we cannot guarantee that every piece of content will be appropriate for all audiences.

3. Payments and Subscriptions

We offer flexible payment options, including one-time purchases and subscription plans, to support your learning needs.

• Subscriptions: You may cancel your subscription at any time before the renewal date through the platform where you subscribed (e.g., Apple App Store, Google Play Store, Stripe). You will not be refunded for the current subscription period, but You will not be charged after the current subscription period has ended.
• Payments: All payments are non-refundable.
• Management: Subscription management, including cancellations and updates, is handled through the respective platform’s account settings.
• Price Changes: We may adjust subscription prices with at least 30 days’ prior notice, where required by law. Changes will apply to your next billing cycle.

4. Use of Our Services

You agree to use our Services solely for their intended purpose of learning Japanese and in compliance with these Terms and applicable laws. You may not:

• Use the Services for any illegal, unauthorized, or commercial purposes unrelated to language learning.
• Copy, reproduce, distribute, modify, or create derivative works from our proprietary content without express written permission.
• Attempt to reverse-engineer, decompile, or access the source code of our AI models or software.
• Use any automated tools (e.g., bots, scrapers) to access or interact with the Services without our written consent.
• Engage in any activity that disrupts, damages, or interferes with the Services or other users’ experiences.

5. Intellectual Property

All content, including but not limited to text, graphics, audio, video, AI-driven learning models, and interactive features, provided through our Services is the property of OhayouQuest LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial language learning purposes. You may not reproduce, distribute, or exploit any content, trademarks, or branding without prior written consent.

6. AI-Generated Content

Our Services leverage AI to provide dynamic learning aids, such as audio pronunciations, dialogues, and practice exercises.

• Purpose: AI-generated content is designed to enhance your learning experience and is not intended as a definitive source of linguistic or cultural accuracy.
• Limitations: While we strive for accuracy, AI-generated content may occasionally contain errors or inconsistencies. We continuously improve our models but cannot guarantee flawless output.
• No Liability: OhayouQuest LLC is not liable for any errors, omissions, or consequences arising from your reliance on AI-generated content, to the extent permitted by applicable law.
• User Responsibility: You are encouraged to cross-reference AI-generated content with authoritative sources, such as native speakers or certified language instructors, for critical applications.
• Intellectual Property: AI-generated content remains the property of OhayouQuest LLC. You may not use it for commercial purposes, claim ownership, or redistribute it outside the Services.

7. User Conduct and Content

You are responsible for any content you submit, upload, or share through our Services (e.g., feedback, comments, or practice responses). You agree not to submit content that:

• Is unlawful, defamatory, obscene, or violates the rights of others.
• Contains viruses, malware, or any harmful code.
• Infringes on any third-party intellectual property rights.

By submitting content, you grant OhayouQuest LLC a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display your content for the purpose of operating and improving the Services.

We reserve the right to moderate or remove any content that violates these Terms or is otherwise inappropriate.

8. Termination

We may suspend or terminate your access to the Services, at our sole discretion, with reasonable notice where feasible, if you violate these Terms or engage in conduct that harms the Services or other users. You may discontinue using the Services at any time by canceling your subscription (if applicable) and ceasing access.

Upon termination, your license to use the Services ends, but certain provisions (e.g., Intellectual Property, Limitation of Liability) will survive.

9. Disclaimers and Limitation of Liability

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by law, OhayouQuest LLC and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Services.

Our total liability for any claim will not exceed the greater of (i) the amount you paid for the Services in the 12 months prior to the claim, or (ii) $50.

10. Changes to These Terms

We may revise these Terms periodically to reflect changes in our Services, legal requirements, or business practices. If we make material changes, we will notify you via email, through the Services, or by posting an updated version of the Terms at least 30 days before the effective date.

We encourage you to review these Terms regularly. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services.

11. Privacy

Your privacy is important to us. Please review our Privacy Policy to learn how we collect, use, and protect your personal information.

To the extent that the Children’s Online Privacy Protection Act 1998 is deemed to apply to us, this website is not aimed at children and does not seek to collect personal information from children under 13.

12. Miscellaneous

• Force Majeure. Neither party will be liable for failure or delay due to events beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, or war.
• Governing Law & Dispute Resolution. These Terms are governed by the laws of the State of Wyoming, USA, without reference to conflict of law rules. Any disputes will be resolved through binding arbitration in Wyoming, administered by the American Arbitration Association under its Consumer Arbitration Rules. You agree to waive any right to participate in a class action or jury trial. If arbitration is found unenforceable, disputes will be resolved in the state or federal courts located in Wyoming.

Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and OhayouQuest LLC regarding the Services.
